Montreal, QC, Canada - December 8, 2009 - ISee3D Inc. ("ISee3D") (TSX-V: ICT) is pleased to announce that it has engaged Union Securities Ltd. to act as ISee3D's lead agent for a syndicate including Haywood Securities Inc. (the "Agents") on a commercially reasonable efforts basis in connection with a private placement (the "Offering") of up to 4,400,000 common shares (the "Shares") at a rate of $0.75 per Share for aggregate gross proceeds of up to $3,300,000. The Agents will receive a cash commission equal to 7% of the aggregate gross proceeds of the Offering and a work fee of $15,000.

The Shares issued pursuant to the private placement will be subject to a four month hold period and the offering will be subject to the approval of the TSX Venture Exchange. Proceeds from the Offering will be used for general working capital requirements.
